Terms of Service
PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING OR USING ANY dRM PLUGINS PRODUCT. BY COMPLETING A PURCHASE OR ACTIVATING A LICENSE, YOU AGREE TO BE BOUND BY THESE TERMS.
1. About Us
dRM Plugins ("we", "us", "our") is a trading name of Rahul Muralidharan, a sole trader operating in the United Kingdom. We sell premium WooCommerce plugins via our website at drmplugin.com (the "Store"). For enquiries, contact us at: support@drmplugin.com
2. Definitions
"Product" means any WordPress or WooCommerce plugin sold through the Store.
"License Key" means the unique key generated upon purchase that activates a Product on a WordPress installation.
"Subscription" means a recurring monthly or yearly billing arrangement for continued access to a Product.
"Activation" means the association of a License Key with a specific WordPress site URL.
"Consumer" means a natural person acting for purposes wholly or mainly outside of their trade, business, craft or profession.
"Business Customer" means any person or entity purchasing for purposes relating to their trade, business, or profession.
"You" / "your" means the individual or entity purchasing or using a Product.
3. Eligibility & Account
To purchase a Product you must: (a) be at least 18 years of age, or the age of majority in your jurisdiction; (b) have the legal capacity to enter into a binding contract; and (c) create an account via our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. License Grant
4.1 Scope
Upon successful payment and activation, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Product on the number of WordPress sites specified by your plan (the "Activation Limit") solely for your own internal business or personal purposes. Purchasing a Product grants only a license to use the software and does not transfer ownership of the software or any intellectual property rights.
4.2 Restrictions
You may not:
- Redistribute, resell, sublicense, rent, or lease the Product or License Key to any third party outside applicable open-source terms.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Product.
- Decompile, reverse-engineer, or disassemble proprietary portions of the Product except to the extent expressly permitted by applicable law.
- Use the Product in any way that violates applicable law or regulation.
- Share your License Key publicly or with persons not authorised under your plan.
4.3 Activation Limits
Each License Key may be activated on a limited number of WordPress sites as stated at the time of purchase. Exceeding this limit requires the purchase of an additional license. We reserve the right to remotely verify and enforce activation limits via our License API.
4.4 Trials
Free trial licenses are granted for evaluation purposes only, are limited to one trial per product per account, last for the duration stated at the time of request, and may be terminated by us at any time at our sole discretion. No payment is required for a trial, and no refund arises on trial expiry.
4.5 Open Source & Commercial Services
Portions of the Product code may be licensed under the GNU General Public License (GPL) or other open-source licenses where required. However, commercial services provided by us—including license validation, access to automated software updates, customer support, and direct file download access through our Store—are proprietary commercial services governed exclusively by these Terms.
4.6 No Resale of Services
You may not use a single licence to provide hosted, managed or SaaS access to the Product for multiple third parties unless expressly permitted by your licence.
5. Subscriptions & Payment
5.1 Billing
Subscription fees are billed in advance on a recurring monthly or yearly basis via Stripe. Prices are displayed inclusive of any applicable taxes where required by law. We reserve the right to adjust pricing on renewal; we will provide reasonable advance notice before pricing changes take effect for existing subscribers.
5.2 Automatic Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. By purchasing a subscription, you authorise us to charge your payment method on a recurring basis until you cancel.
5.3 Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current paid billing period; you will retain access to updates, support, and downloads until that date. We do not offer pro-rated refunds for partial billing periods on cancellation, except as required under clauses 6 and 7 below.
5.4 Failed Payments
If a payment fails, we will notify you by email. If payment is not resolved within a reasonable period, we reserve the right to suspend or terminate your access to updates and licensing services.
6. Consumer Statutory Cancellation Rights (UK & EU)
This section applies to Consumers only. It does not apply to Business Customers.
6.1 Right of Withdrawal (14-Day Cooling-Off Period)
Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the EU Consumer Rights Directive 2011/83/EU, you have the right to withdraw from your purchase within 14 days of the contract being concluded (the "Cooling-Off Period") without giving any reason.
6.2 Waiver of Withdrawal Right
IMPORTANT:
By completing your purchase and clicking "I agree that delivery of the digital content should begin immediately and I acknowledge that I will lose my right of withdrawal once the download has begun or the License Key has been delivered," you expressly request immediate delivery and acknowledge that your right of withdrawal is lost at that point.
Where the above waiver is not obtained, or where required by law, the 14-day cooling-off period applies and you may request a full refund by contacting support@drmplugin.com within 14 days of purchase.
6.3 How to Exercise Withdrawal
To exercise your right of withdrawal (where applicable), contact us at support@drmplugin.com with your order reference and a clear statement of your decision to withdraw. We will process any refund due within 14 days of receiving your withdrawal notice, using the same payment method used for the original purchase.
7. Refunds
Outside of statutory rights under clause 6, we offer refunds at our sole discretion. We may offer a refund where we determine that the Product cannot reasonably perform its advertised functionality in a supported environment. Refund requests should be sent to support@drmplugin.com with your order reference and a description of the issue.
We do not offer refunds for: change of mind (beyond the statutory cooling-off period); incompatibility with third-party plugins or themes not documented as supported; or issues arising from your own WordPress installation, hosting environment, or failure to follow installation instructions.
8. Disclaimer of Warranties
For Business Customers only: The following disclaimer applies in full.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that: (a) the Products will meet your specific requirements; (b) the Products will be uninterrupted, timely, secure, or error-free; (c) the Products will be compatible with all WordPress versions, WooCommerce versions, themes, or third-party plugins; or (d) any errors or defects will be corrected.
For Consumers: Nothing in this clause 8 affects your statutory rights under the Consumer Rights Act 2015 (UK) or equivalent EU legislation, including the right to products of satisfactory quality, fit for purpose, and as described. These rights cannot be excluded.
9. Limitation of Liability
Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by law.
Subject to the above, and to the fullest extent permitted by applicable law:
- Our total aggregate liability to you (whether in contract, tort including negligence, breach of statutory duty, or otherwise) arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim.
- We shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
For Consumer customers: nothing in this clause 9 affects your statutory rights.
10. Intellectual Property
All Products, including their source code, design, structure, and associated documentation, are and remain the exclusive intellectual property of dRM Plugins / Rahul Muralidharan. Purchasing a Product grants a software license only and does not transfer any ownership rights or intellectual property rights to you. All rights not expressly granted are reserved.
If you believe any content on the Store infringes your intellectual property rights, please contact us at support@drmplugin.com with full details.
You may not circumvent or attempt to circumvent the licensing, activation, update or security mechanisms of the Product.
11. Updates & Support
During an active paid subscription, you will receive access to Product updates as they are released. Update frequency and release schedules are entirely at our sole discretion. We do not guarantee future features, nor do we guarantee compatibility with every future version of WordPress, WooCommerce, PHP, themes, or third-party plugins.
Support is provided via email at support@drmplugin.com at our sole discretion and is strictly limited to active, supported versions of the Product. We offer no guaranteed response times and no guarantee that every issue or inquiry can be resolved. Support does not include custom development, installation assistance beyond documented instructions, or issues arising from third-party conflicts, server environments, or unsupported software versions.
12. Suspension, Cancellation & Discontinuation
12.1 Cancellation by You
When you cancel a subscription, your cancellation takes effect at the end of the current paid billing period. You retain access to product downloads, automated updates, support, and active license validation until that date. Upon expiry of the paid period, access to updates, downloads, support, and active license validation cease. Depending on technical implementation, the plugin software installed on your site may continue functioning locally, but you will no longer receive updates, fixes, or support.
12.2 Termination for Cause
We may suspend or terminate your license key and commercial access immediately and without notice if you: (a) breach any material term of these Terms; (b) engage in fraudulent or abusive activity; (c) redistribute or resell License Keys or proprietary assets outside applicable open-source terms; or (d) fail to pay any amounts due.
12.3 Product Discontinuation
We reserve the right to discontinue any Product at our sole discretion. Where reasonably practicable, we will provide advance notice of discontinuation. Discontinuation does not obligate us to issue refunds or credits, except where required by applicable law.
13. Data Protection & Privacy
We process personal data in accordance with our Privacy Policy, available at drmplugin.com/privacy. By using our Store and Products, you acknowledge that we will process your personal data as described therein.
We comply with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and, where applicable, the EU General Data Protection Regulation (EU GDPR 2016/679).
Our Products collect limited technical telemetry data from activated WordPress installations—specifically: WordPress version, WooCommerce version, PHP version, plugin version, and site URL (for license validation). This data is collected solely for license validation, update delivery, and compatibility tracking. No personal data from website visitors or customers of your website is collected or processed by the Product.
We do not collect the content of your website, customer information, order information or WooCommerce store data.
14. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. You and we agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising under or in connection with these Terms.
For Consumer customers in the EU: you may also have the right to use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/ or to bring proceedings in the courts of your country of residence.
For Consumer customers in the UK: you may refer complaints to the Citizens Advice consumer helpline or seek alternative dispute resolution before commencing court proceedings.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to the Products and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
15.3 Waiver
Failure by us to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.
15.5 Changes to These Terms
We reserve the right to update these Terms at any time. Where changes are material, we will provide reasonable advance notice by email or prominent notice on the Store before updated Terms take effect, where reasonably practicable. Continued use of the Products after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
15.6 Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, internet outages, power failures, government actions, or third-party service failures.
